Sam is a Senior Associate in our Corporate and Commercial team, and has extensive experience across a range of commercial matters, including:

  • mergers and acquisitions
  • funds management
  • commercial agreements, with a particular focus on technology and health
  • data protection and privacy.

Experience

Sam’s experience includes:

Mergers and acquisitions

  • advising Randstad N.V. (listed on the Euronext Amsterdam) on the acquisition of the Finite Group, a large provider of technology recruitment and professional services in Australia and New Zealand
  • advising the shareholders of Corrosion Control Engineering, Australia’s largest cathodic protection specialist, on a sale to private equity owned Eptec Group
  • advising 3P Learning Limited (ASX:3PL) on various IP asset acquisitions
  • assisting one of Australia’s biggest independent hydraulics and water businesses on a majority sale to Allegro Funds and various subsequent bolt-ons
  • assisting the shareholders of a well-known healthcare group on a significant investment by Quadrant Private Equity, and subsequent acquisitions by the group
  • advising numerous Australian family businesses on their sale to international and private equity buyers.

Funds management

  • assisting a large Australian funds manager in relation to its portfolio of unregistered wholesale managed investment schemes
  • advising numerous responsible entities on structuring and compliance issues for listed and unlisted managed investment schemes.

Commercial

  • advising a listed health technology company on various contracting and licensing issues
  • advising on, drafting and negotiating software license, consultancy and services agreements
  • assisting start-up technology companies with structuring and general advisory matters.

Data protection and privacy

  • advising a credit reporting body on compliance with the Privacy Act in relation to product design and various data sharing agreements with third parties
  • advising a data analytics company regarding their international data sharing and analytics agreements
  • assisting a leading industry superannuation fund with the development of a privacy manual (including policies and procedures) for its property managers.
